1. Acceptance of Terms & Legal Competence
These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between NBCA Skill (OPC) Pvt. Ltd. ("Company", "We", "Us"), operating the SupervisionPro platform at supervisionpro.in, and the entity or individual accessing, registering with, or utilizing the SupervisionPro SaaS software suite, web portals, or mobile applications ("Agency", "Subscriber", "User", or "You").
By creating an account, subscribing to a plan, logging into the web portal, or downloading the Guard or Agency mobile applications, you unconditionally agree to these Terms and our Privacy Policy. You warrant that you are competent to contract under Section 11 of the Indian Contract Act, 1872 (at least 18 years of age, of sound mind, and legally authorized).
2. Description of SaaS Services & Software Scope
SupervisionPro is a proprietary B2B Software-as-a-Service (SaaS) suite designed for private security companies, facility management agencies, and enterprise security departments. The Service comprises:
Web Administration Portal: Workforce scheduling, site management, QR checkpoint generation, incident workflows, and SLA analytics.
SupervisionPro is strictly a Software Technology Provider. SupervisionPro is not a Private Security Agency under the Private Security Agencies (Regulation) Act, 2005 (PSARA). SupervisionPro does not employ guards, deploy security personnel, or provide armed physical guarding.
3. Mobile Application End User License Agreement (EULA) & App Store Terms
A. Limited Software License
Subject to your compliance with these Terms, NBCA Skill (OPC) Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the SupervisionPro Guard App and SupervisionPro Agency App on compatible mobile devices solely for internal operational management.
B. Google Play Store & Apple App Store Terms

You acknowledge that these Terms are concluded between you and NBCA Skill (OPC) Pvt. Ltd. only, and not with Google LLC or Apple Inc.

NBCA Skill (OPC) Pvt. Ltd., not Google or Apple, is solely responsible for the software and content thereof.

Google LLC and Apple Inc. have no obligation whatsoever to furnish any maintenance or support services with respect to the mobile applications.

In the event of any failure of the mobile applications to conform to any applicable warranty, you may notify the app store provider in accordance with their standard store refund policies for apps. To the maximum extent permitted by applicable law, Google and Apple have no other warranty obligation whatsoever.

Google and Apple are third-party beneficiaries of these Terms and shall have the right to enforce these Terms against you as a third-party beneficiary thereof.
4. Acceptable Use Policy & Restricted Activities
You agree that you will not, nor permit any third party, employee, or security guard to:

GPS Spoofing & Falsification: Utilize mock location tools, GPS emulators, rooted or jailbroken device spoofing scripts, or artificial QR code generators to falsify patrol verification or attendance logs.

Reverse Engineering: Decompile, disassemble, reverse engineer, decode, or extract source code from the Platform's web applications, mobile binaries (APK/AAB/IPA), or proprietary database schemas.

Harmful Code: Transmit any worms, trojans, malicious payloads, ransomware, or code designed to disrupt, compromise, or overload the Platform's cloud infrastructure.

Resale & Multi-Tenancy Abuse: Sub-license, resell, lease, time-share, or provide third-party commercial access to the Platform without prior written consent.

Violation of Indian Law: Store, transmit, or publish any data that violates the Information Technology Act, 2000, promotes unlawful violence, or compromises public safety.
Any violation constitutes a material breach entitling SupervisionPro to terminate your access immediately without refund.
Recurring Subscription: Services are billed on a recurring basis (monthly or annual billing cycles) based on active deployment site quotas and feature tiers.
GST Compliance: Subscription fees are exclusive of Indian Goods and Services Tax (GST at 18% under SAC code 998314). Tax invoices are generated electronically.
No Grace Period: SupervisionPro operates under a strict no-grace-period policy. Failure to settle renewal dues on or before the due date results in immediate suspension of account access. Field mobile apps pause active checkpoint verification until payment is settled.
6. Intellectual Property Rights
NBCA Skill (OPC) Pvt. Ltd. retains all worldwide right, title, and interest in and to the Platform, including code, database designs, trademarks, and UI/UX assets. The subscribing Agency retains exclusive ownership of its operational data, guard rosters, client records, and incident reports.
7. Limitation of Liability & Disclaimers
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW:

No Physical Security Warranty: SUPERVISIONPRO MAKES NO WARRANTY THAT USE OF THE SOFTWARE WILL PREVENT PROPERTY DAMAGE, PHYSICAL CRIME, THEFT, TRESPASS, ASSAULT, OR BODILY INJURY AT ANY SITE. SUPERVISIONPRO IS A SOFTWARE TOOL AND NOT AN INSURER OR PHYSICAL SECURITY FORCE.

Disclaimer of Consequential Damages: UNDER NO CIRCUMSTANCES SHALL SUPERVISIONPRO OR ITS DIRECTORS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Monetary Liability Cap: THE TOTAL AGGREGATE LIABILITY OF SUPERVISIONPRO UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE SUBSCRIBER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
8. Governing Law, Jurisdiction & Arbitration
Governing Law: The laws of the Republic of India.
Binding Arbitration: Any dispute not resolved amicably within 30 days shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be North Tripura, Tripura, India.
Court Jurisdiction: The competent civil courts situated in North Tripura / Agartala, Tripura, India shall have exclusive territorial jurisdiction.
